ZPAYS INC. — Terms of Service

Introduction

These Terms of Service, together with our Privacy Policy, govern your access to and use of the website or application (the “ZPAYS’ Website or App” or the “Site”) of ZPAYS Inc. (“ZPAYS”, “we”, “our”, or “us”), is a fintech corporation incorporated under the laws of the State of Florida in September 2024, headquartered in the Miami metropolitan area (Weston, FL). The company focuses on secure, efficient financial services — including remittances, payroll processing, payable through accounts, and payment processing — primarily serving young professionals, SMEs, and entrepreneurs in Florida. As of June 4, 2025, ZPAYS holds a Florida Money Services Businesses Part II License (License No. FT230000518), which authorizes it to legally operate as a money transmitter in the state. The license is valid until April 30, 2027, and your use of any of the services provided through the Site. These Terms of Service and any additional terms and conditions, policies, agreements and disclosures to which you have agreed are collectively the “Agreement”.

Your use of the Site is governed by the version of these Terms in effect on the date of use. ZPAYS may modify the Terms at any time without prior notice. By using and accessing the Site, you agree to review the most current version prior to each use. Your continued use constitutes your acknowledgment of and agreement to the then-current Terms.

These Terms are in addition to any other agreements between you and ZPAYS, including customer or account agreements, and any other agreements that govern your use of products, services, content, tools, and information available on the Site.

ZPAYS reserves the right, in its sole discretion, without obligation or notice, to change, improve or correct information on the Site and/or to suspend or deny access for scheduled or unscheduled maintenance, upgrades, improvements or corrections. The Site may contain typographical errors or inaccuracies. Any dated information is published as of its date only, and ZPAYS has no obligation to update it. ZPAYS may discontinue or change any product or service described on the Site at any time without prior notice, and may block or discontinue your access for any reason. You agree ZPAYS and its affiliates will not be liable to you or any third party for such modification, suspension or discontinuance.

Authorized User

Some services and certain pages of the Site are available only to clients or users authorized by us. Authorization may require satisfactory background screening. Unauthorized use of the Site and/or our systems, including unauthorized entry or attempted access to ZPAYS’ systems or restricted areas, misuse or sharing of passwords, or misuse of any information, is strictly prohibited.

You may not use the Site in any manner that could damage, disable, overburden, or impair the Site or service or interfere with any other party’s use and enjoyment. You may not attempt to gain unauthorized access through hacking, password mining or any other means. You may not screen-scrape, data-scrape or use automated means to acquire data from the Site. You agree not to engage in activities contrary to these Terms or applicable laws or regulations.

Notify us immediately if you learn or suspect your password security has been compromised. You are responsible for any unauthorized use before we have had a reasonable opportunity to act on your notice. We may suspend or cancel your password, without notice, if we suspect unauthorized or fraudulent use.

You are responsible for monitoring your account and should promptly report any unauthorized or suspicious activity to legal@ZPAYS101.net.

Disclaimer of Warranty and Limitation of Liability

The information, products and services on the Site are provided on an “as is,” “where is,” and “where available” basis. ZPAYS provides no warranties (express or implied) with respect to the information and/or services on the Site or your use of the Site, including implied warranties of title, non-infringement, merchantability, or fitness for a particular purpose.

ZPAYS will not be responsible for loss or damage resulting from interception by third parties of any information or services available via the Site. Although information is obtained or compiled from sources believed reliable, ZPAYS does not guarantee accuracy, validity, timeliness, or completeness for any purpose.

Neither ZPAYS nor its affiliates, directors, officers, employees, nor any third-party providers (“ZPAYS Parties”) will be liable for any loss or damage in the event of failure or interruption of the Site, or resulting from the act or omission of any other party involved in making the Site, the data contained therein or the products or services offered thereby available to you, or from any other cause relating to access, inability to access, or use of the Site or materials therein, whether or not within the control of ZPAYS.

In no event will ZPAYS or such parties be liable to you, whether in contract or tort, for any direct, special, indirect, consequential or incidental damages even if advised of the possibility. This includes, without limitation, transmission of viruses, failure of equipment or communication lines, unauthorized access, theft, operator errors, strikes or force majeure. ZPAYS does not guarantee continuous, uninterrupted or secure access to the Site.

Proprietary Rights

All right, title and interest in the Site and all content are the exclusive property of ZPAYS, except as otherwise stated. Unless specified, the Site is for your personal or internal business use only. You may print, copy and download limited information solely for such use.

You may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, frame, create derivative works from, transfer, or otherwise use for commercial or public purposes any information, software, products or services obtained from the Site without ZPAYS’ prior written approval. If you copy or download any information or software, you agree not to remove or obscure any copyright or other notices.

ZPAYS, the ZPAYS logo, and other ZPAYS marks are trademarks of ZPAYS. Other names may be trademarks of their respective owners. You are prohibited from using any marks without the written permission of ZPAYS or the applicable rights holder.

User Submitted Information

As a user, you may be permitted to post user-submitted content (“User Submitted Content”). You are solely responsible for all User Submitted Content you post. You expressly agree that all User Submitted Content will:

  • Comply with all applicable laws (privacy, IP, export control, tax, regulatory, etc.).
  • Not be inaccurate, harassing, libelous, abusive, obscene, discriminatory or otherwise objectionable.
  • Not promote or solicit the purchase or sale of any product, security, financial asset or investment unless expressly permissible.
  • Not contain viruses, worms or other programs that may interfere with the Site or any user.
  • Not infringe any intellectual property or proprietary rights.
  • Not contain information you lack the right to upload.
  • Not pose or create a privacy or security risk.
  • Not impersonate or misrepresent your affiliation with any person or entity.
  • Not further or promote criminal activity or provide instructions about illegal activities.
  • Not contain material that, in ZPAYS’ sole judgment, is objectionable or restricts others’ use of the Site or exposes ZPAYS or users to harm or liability.

ZPAYS may investigate and take appropriate legal action against violations, including removing content, suspending or terminating accounts, and reporting to authorities.

Acceptable Use of the Account

Appropriate Uses

  • Request, manage, and send electronic funds and payments to individuals or businesses with a U.S.-based bank account.
  • Send and receive money (including via services such as Zelle or PayPal).
  • Manage cash reserves to allow liquidity for operations.
  • Get digital insights, receipts, and statements of transactions, balances, and accounts.

Inappropriate Uses

Activities that may constitute inadequate use include (non-exhaustive):

  • Violations of law, or transactions involving unsafe products or illegal content.
  • Intellectual property infringement or privacy violations.
  • Ponzi, matrix, or certain multi-level marketing schemes.
  • Sales identified by government agencies as likely fraudulent.

Opening Your Account

This Agreement applies to U.S. accounts only. Individuals must be U.S. residents (or territories) and at least 18 (or age of majority). Businesses must be organized in, operating in, or residents of the U.S. or its territories.

Types of Accounts

Personal Accounts

Suitable for purchases and personal transactions. Capabilities include sending/receiving personal transactions, buying goods/services, receiving ACH or wires, and using Zelle or PayPal. If primarily selling, open a business account (you may convert later).

Business Accounts

For organizations using ZPAYS for payroll, operations, cross-border business, and collecting payments. Capabilities include using a company name, employee access to features, and access to business products. Fees may differ and business accounts cannot receive “personal transactions”. By opening a business account, you certify business/commercial use, U.S. organization, and consent to credit checks as applicable.

Account Statements

You can view statements by logging in, via phone, WhatsApp support, or regular mail. If you have a Balance Account linked to a personal account, you’ll receive two statements.

Closing Your Account

You may close your account at any time without cost, but remain liable for obligations. We will cancel scheduled or incomplete transactions. Withdraw/transfer any Balance Account funds before closure.

You may not close your account in certain cases (e.g., to evade investigation, pending transactions/disputes, negative balance, holds/limitations/reserves).

Prohibited Activities

Certain activities may be limited or restricted, including:

  • Red Light Business; Cash-Intensive Business; Commodity Traders; Cannabis/drug-related business.
  • Offshore accounts; Shell companies/banks; Unlicensed charities.
  • Businesses/persons in high-risk jurisdictions; other NBFI or MSB institutions.

We may close your account if you, among other things:

  • Impose unreasonable load on our systems or services.
  • Facilitate malware or attempt unauthorized access/interference.
  • Use anonymizing proxies; scrape or bypass exclusions without permission.
  • Disrupt services or other users’ use.
  • Cause us to lose services from providers or partners.
  • Circumvent policies (e.g., open new accounts to evade restrictions, use others’ identities).
  • Harass or threaten employees, agents, or users; abuse dispute processes.

Third Party Content

Portions of the Site may contain unedited or third-party content, including User Submitted Content (“Third Party Content”). Such content is the sole responsibility of its originators. ZPAYS may not monitor and does not control such content, though we reserve the right to remove it. You agree not to rely on Third Party Content and understand it may be inaccurate, inappropriate, misleading, unlawful, or offensive. ZPAYS makes no representations and is not responsible or liable for Third Party Content or conduct of any user. Use of such content may be subject to the provider’s terms.

Financial Assets

Nothing on the public portions of the Site constitutes a recommendation, solicitation or offer by ZPAYS or its affiliates to buy/sell securities, futures, options, digital currency or other financial instruments, or to provide investment advice or services. Information is prepared without reference to any particular user’s requirements or financial situation, and may not be used where contrary to law. Some products/services may not be available in all jurisdictions or to all clients.

Indemnity and Release

You agree to release, indemnify and hold ZPAYS harmless from all losses, damages, expenses (including reasonable attorneys’ fees), claims, actions, and injury (including death) arising out of or relating to your use of the Site.

If you are a California resident, you waive California Civil Code Section 1542. If you are a resident of another jurisdiction, you waive any comparable statute or doctrine.

Choice of Law; Arbitration

This Agreement is governed by the laws of the State of Florida, without regard to conflicts-of-law rules. Unless otherwise agreed in writing, any dispute arising out of or relating to this Agreement shall be finally resolved by arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules (or as required by law), and judgment on the award may be entered in any court having jurisdiction.

The arbitration will be conducted in English before a single arbitrator in Miami, Florida, and must be commenced within one (1) year after the claim arises. If any provision is unenforceable, it shall be enforced to the maximum extent permissible to effect the intent, and the remainder shall continue in full force. This Agreement constitutes the entire agreement between ZPAYS and you with respect to the Site and supersedes all prior or contemporaneous communications. A printed version shall be admissible in proceedings.
